PRVACY NOTICE

This privacy notice is designed to explain how MUFG Securities Asia Limited, a company incorporated in Hong Kong, ("MUS(ASIA)”), together with MUS(ASIA) Singapore Branch  (together “MUS(ASIA)”, “we”, or “us”) collect, use, disclose and/or process client-related personal data and to assist you in making an informed decision before providing us with any of your personal data.

 

This notice is relevant to you if you are:

  • An individual associated with a client or potential client of MUS(ASIA), such as, an employee, other representative or beneficial owner of a client; or
  • An individual whose personal data is given to MUS(ASIA) by a client or potential client, or which we otherwise receive, in the course of our dealings with that client or potential client.

 

In this privacy notice we refer to our client or potential client whom you represent, or with whom you are otherwise associated, as our “Client".

 

MUS(ASIA), recognize the importance of the personal data you have entrusted to us and believe that it is our responsibility to properly manage, protect and process your personal data.

 

1    PERSONAL DATA THAT WE COLLECT ABOUT YOU.

1.1

Personal data that you give us:

  • This is personal data about you that you give to us when filling in forms that we (or our Client on our behalf) ask you to complete or corresponding with us by email, telephone, post or otherwise. It may include, for example, your name, address, email address and telephone number; information about your business relationship with us; information about your professional role and background; limited details of your personal life; and identification documentation for verification and authorisation purposes.
  • Failure to provide such information may result in (amongst other things) our inability to provide services to you and/or accept payments into your account with us and/or us directing payments to your account with us to you or such other account as we may deem appropriate.
  • If you provide us with personal data about other individuals, including your colleagues, employees, and any individual that acts on your behalf, please inform them of the purposes for which you are providing us the personal data and ensure they are aware of this notice. You are responsible for obtaining all relevant consents and/or authorisations from such individuals that are necessary to enable us to collect and use (including, without limitation, transfer) the personal data of such individuals under all applicable data protection and privacy laws.
     
1.2

 Personal data that our systems collect about you:

  • If you exchange emails, telephone or video conversations or other electronic communications with us and our staff members, our information technology systems may record details of those communications, including their content.
  • If you visit our websites, they will collect some information about you and your visit, including the Internet protocol (IP) address used to connect your device to the Internet and some other information such as your browser type and the pages on our site that you visit.
  • Our premises have Closed Circuit TV (CCTV) systems and building access controls for security and safety purposes which may record you if you visit our premises in line with applicable laws and regulations.

Other personal data:

We may also collect personal data from other sources, which we lawfully obtain and are permitted to process. In particular:

  • Your employer or other business contacts, including other financial institutions, may give us personal data about you, such as your contact details or details of your role in our relationship with our Client. If we need to conduct anti-money-laundering or similar background checks involving you this may require more extensive personal data about you – for example, a copy of your passport.
  • We sometimes collect personal data from third party data providers, such as commercial registers, debtor directories, land registers, international sanctions lists, press, media, the internet or other publicly available sources for anti-money-laundering, background checking and similar purposes, and to protect our business and comply with our legal and regulatory obligations.

 

2    PURPOSES FOR COLLECTION, USE, DISCLOSURE AND PROCESSING OF PERSONAL DATA

2.1 The personal data which we collect from you may be collected, used, disclosed and/or processed for various purposes, depending on the circumstances for which we may/will need to process your personal data, including (to the extent applicable): 
  a)

processing your application with us for any products, facilities and/or services offered to you pursuant to the Terms of Business

  b) providing our products and services to our Client, including to ensure that agreements with and instructions from our Client are authorized and validly executed;
  c)

opening and maintaining an account for you and/or providing services to you;

  d)

conducting verification procedures, ongoing account administration including carrying out know-your-client (“KYC"), anti-money laundering, anti-terrorism, anti-market-abuse, anti-bribery and corruption, anti-fraud / other financial crime and sanctions compliance activities, including identity checks and background screening, and providing marketing to you;

  e)

facilitating, processing, dealing with, administering, managing and/or maintaining your relationship with us, performance of the Terms of Business and enforcing the MUS(ASIA)’s rights and obligations thereunder (including but not limited to the collection of amounts outstanding from you or any other person);

  f)

carrying out your instructions or responding to any enquiry given by (or purported to be given by) you or on your behalf;

  g)

communicating with you via phone/voice call, text message, fax message, email and/or postal mail for the purposes of administering and/or managing your relationship with us, such as but not limited to the administration of your account or processing your transactions or the services or products you are entitled to or may be offered under your contract with us. You acknowledge and agree to such communication by MUS(ASIA);

  h)

performing verification of your financial standing through credit reference checks;

  i)

managing MUS(ASIA)’s infrastructure and business operations and/or to carry out or perform administrative, operational and technology tasks (including technology infrastructure maintenance and support, application maintenance and support, risk management, systems development and testing), and business continuity management as well as complying with policies and procedures including those related to auditing, finance and accounting, billing and collections;

  j)

to detect, prevent and investigate any fraud, bribery, corruption or any other financial crimes, or act or omission which constitutes violation of any law, to carry out due diligence or other screening activities as required by law or regulations or our risk management procedures in order to meet the MUSAMUS(ASIA)’s compliance obligations;

  k)

to comply with any applicable law, governmental or regulatory requirements including meeting the requirements of any guidelines by regulatory authorities, requests or order by any governmental authorities, public agencies, ministries, statutory bodies, and to comply with the requirements in any jurisdiction  including but not limited to of any exchange, trading facility, trading system, organised market, clearing house, settlement system, exchange or other infrastructure provider to facilitate clearing and settlement (a “Market") and  including but not limited to defending and/or enforcing MUS(ASIA)’s rights and remedies under the law;

  l)

conducting research, analysis and development activities (including but not limited to data analytics, surveys and/or profiling) to improve our products, services and facilities for your benefit and/or to enhance your experience with us as our customer;

  m)

 managing and improving our systems and processes, including through monitoring and managing their usage;

  n)

storing, hosting, backing up (whether for disaster recovery or otherwise) of your personal data, including .keeping records of communications with our Client, including recording telephone, emails and instant messaging;

  o)

facilitating any proposed or actual restructuring, merger, acquisition, or business asset transaction involving any member of the MUFG Group; and

  p)

any other purposes which we notify you of at the time of obtaining your consent. (collectively, the “Purposes”)

  q)

There may be purposes other than the Purposes set-out above, for which your personal data may/will be collected, used, disclosed or processed. In such case, we will notify you of such other purposes at the time of obtaining your consent, unless processing of your personal data without your consent is permitted by law.

 

3    DISCLOSURE OF PERSONAL DATA

3.1 We respect the confidentiality of the personal data you have provided to us.
3.2 In order to conduct our business operations more smoothly, we may also be disclosing the personal data you have provided to us to our third-party service providers, subcontractors, agents and/or our affiliates or related corporations, and/or other third parties for one or more of the above-stated Purposes. Such third-party service providers, subcontractors, agents and/or affiliates or related corporations and/or other third parties would be processing your personal data either on our behalf or otherwise, for one or more of the above stated Purposes. Therefore, we may disclose personal data about you, where reasonably required for the Purposes set out above in Section 2.1, to:
  a)

other members of the worldwide MUFG group of companies

  b)

your colleagues representing our Client;

  c) our agents, third party service providers and its subcontractors, including cloud providers of client databases and communication systems, who hold or process your personal data on our behalf, under strict conditions of confidentiality and security
  d) counterparty financial institutions, Markets and other persons from whom we receive, or to whom we make, payments, or with whom we conduct other transactions;
  e) to anyone to whom we transfer or propose to transfer any of our rights or duties or whotake over our business and assets, or relevant parts of them;
  f)

to credit reference agencies or other organisations that help us and others make credit decisions and reduce the incidence of fraud or in the course of carrying out identity, fraud prevention or credit control checks;

  g) regulators, tax, law enforcement or other governmental agencies, courts or litigation counterparties, in any jurisdiction and to any person to whom we are under a duty to disclose;
  h) affiliates or related corporations, any domestic or overseas regulators or other government agencies and any domestic or overseas regulators or other government agencies, for purposes of meeting requirements to make disclosure under any agreement between us, and any of the mentioned organization, whether such agreement is mandatory or voluntary;
  i) any auditor, legal and/or other professional adviser of ours or any other person under a duty of confidentiality to us; and
  j) other persons at your request or with your consent.
3.3 These disclosures may involve transferring your personal data abroad. You should be aware that this may include transfers to so-called third countries which do not have similarly strict data privacy laws. In those cases, we will put in place appropriate safeguards such as data transfer agreements based on the use of approved Standard Contractual Clauses. 
3.4 For the purposes set out above, we may transfer your personal data to other entities within the MUFG group. To help govern such transfers, MUFG Group has in place intragroup data transfer arrangements which incorporate the Model Clauses as applicable.
3.5 In general terms, we will only transfer personal data to a third country insofar as it is permitted under applicable data protection law. Please contact us if you require further information.

 

4    REQUEST FOR ACCESS AND/OR CORRECTION OF PERSONAL DATA

4.1 You may request to access and/or correct the personal data currently in our possession by submitting your request to Asia_DataProtectionOfficer@mufgsecurities.com.
4.2 For a request to access personal data, we will provide you with the relevant personal data within 30 days from such a request being made. 
4.3 For a request to correct personal data, we will correct your personal data as soon as practicable after the request has been made unless we have reasonable grounds not to do so; and 
4.4 We may charge you a reasonable fee for the handling and processing of your requests to access and/or correct your personal data. 

 

5    REQUEST TO WITHDRAW CONSENT

5.1 You may withdraw your consent for the collection, use and/or disclosure of your personal data in our possession or under our control by submitting your request to Asia_DataProtectionOfficer@mufgsecurities.com.
5.2 We will process your request within 30 days from such a request for withdrawal of consent being made, and will thereafter not collect, use and/or disclose your personal data in the manner stated in your request. 
5.3 However, your withdrawal of consent could result in certain legal consequences arising from such withdrawal. In this regard, depending on the extent of your withdrawal of consent for us to process your personal data, it may mean that we will not be able to continue with your existing relationship with us. 

 

6    ADMINISTRATION AND MANAGEMENT OF PERSONAL DATA

6.1 We will take reasonable efforts to ensure that your personal data is accurate and complete, if your personal data is likely to be used by MUS(ASIA) to make a decision that affects you, or disclosed to another organisation. However, this means that you must also update us of any changes in your personal data that you had initially provided us with. We will not be responsible for relying on inaccurate or incomplete personal data arising from you not updating us of any changes in your personal data that you had initially provided us with. 
6.2 We have put in place reasonable security arrangements to ensure that your personal data is secure and adequately protected. Appropriate security arrangements will be made to prevent any unauthorized access, collection, use, disclosure, copying, modification, leakage, loss, damage and/or alteration of your personal data. However, we cannot assume responsibility for any unauthorized use of your personal data by third parties which are wholly attributable to factors beyond our control. 
6.3 We have put in place measures such that your personal data in our possession or under our control is destroyed and/or anonymized as soon as it is reasonable to assume that (i) the purpose for which that personal data was collected is no longer being served by the retention of such personal data; and (ii) retention is no longer necessary for any other legal or business purposes. 


7    UPDATES ON PERSONAL DATA PROTECTION POLICY

7.1 As part of our efforts to ensure that we properly manage, protect, and process your personal data, we will be reviewing our policies, procedures and processes from time to time.
